Welcome to the Voyager Sopris web site located at www.voyagersopris.com . This User Agreement (this "Agreement") sets forth the terms under which you may use the web site (this "Site"). As used in this Agreement, the terms "we," "us," and "our," mean Voyager Sopris, and "you" and "your," refer to all individuals and entities accessing this Site for any reason. BY ACCESSING THIS SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, AGREE TO BE BOUND BY AND UNDERSTAND THIS AGREEMENT, AND THAT YOU WILL COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS, INCLUDING UNITED STATES COPYRIGHT AND TRADEMARK LAWS. Please check these terms periodically for changes. Notice of any revision, amendment or modification of the terms will be posted in this section of the Site, and any such revisions, amendment, or modifications will be effective upon the posting of such notice. Continued use of the Site by you constitutes your binding acceptance of such revisions, amendments, and modifications. 2. Limited License and Site Use. Subject to the terms of this Agreement, Voyager Sopris grants you a limited, revocable, nonexclusive, nontransferable license to view, store, bookmark, download, and print the pages within this Site that you are authorized to access for your personal, informational, and noncommercial use. This Site may only be used by authorized users for lawful purposes. Contemporaneous online scoring for DIBELS Next cannot be used on any of the following: a mobile computing device that includes an integrated screen with a diagonal size of less than 11 inches; a mobile computing device that includes an integrated touch screen; or, a touch screen computer input device. Examples include (but are not limited to) digital pens, PDAs, pocket PCs, tablet PCs, mobile phones, mobile internet devices, and notebooks and laptops with a diagonal size of less than 11 inches. Any attempted use on such a device will automatically terminate a customer's right to continue using VPORT for DIBELS Next online scoring. Any customer wishing to use contemporaneous online scoring for DIBELS Next on such a device should contact Amplify Education, Inc. at http://www.amplify.com/contact .

3. Intellectual Property. All Materials included on this Site (including, without limitation, text, graphics, logos, button icons, images, audio clips and software) are the property of Voyager Sopris or the parties specifically indicated, and are protected by U.S. and international copyright laws. The collection, arrangement and assembly of any Materials on this Site are the exclusive property of Voyager Sopris, its licensors, and protected by U.S. and international intellectual property laws, including copyright laws. All software used on this site is the property of Voyager Sopris, or its software suppliers, and protected by U.S. and international intellectual property laws, including copyright laws. The Materials and software on this site may be used solely as provided in this Agreement. Any other use of the Materials on this Site is strictly prohibited. VOYAGER EXPANDED LEARNING and any other Voyager Sopris graphics, logos and service names are trademarks of Voyager Sopris. All other marks contained on this site are the sole property of the parties indicated.

4. Submissions. Except for information related to student performance in the Voyager Sopris educational programs submitted by a registered user, all submissions, written or otherwise, disclosed, submitted or offered to Voyager Sopris on or by this Site or otherwise disclosed, submitted or offered by you in connection with your use of this Site (collectively, "Comments") are and remain the exclusive property of Voyager Sopris. Such disclosure, submission, or offer of any Comments shall constitute an assignment to Voyager Sopris of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the Comments. Voyager Sopris will thus own exclusively all such rights, titles and interests and shall not be limited in any way in its use or implementation, commercial or otherwise, of any Comments. Voyager Sopris is and shall be under no obligation (a) to maintain any of your or any user's Comments in confidence; (b) to pay to you or any user any compensation for any Comments; or (c) to respond to any of your or any other user Comments. You hereby authorize Voyager Sopris to send electronic mail to you for the purpose of advising you of changes or additions to this Site, or about any Voyager Sopris products or services. You agree that it is your sole responsibility to scan any documents attached to our electronic mail for computer viruses, and to hold Voyager Sopris harmless for any computer viruses you may receive from electronic mail sent from Voyager Sopris.

6. Passwords and Registration. The following part of this Site is protected by passwords and requires a login. You agree not to disclose or share your password with any third party or use your password for any unauthorized purpose. You are responsible for maintaining the confidentiality of your information and password. You shall be responsible for all uses of your registration, whether or not authorized by you. You agree to immediately notify Voyager Sopris of any unauthorized use of your registration or password.

7. Termination. Upon any breach by you of this Agreement, Voyager Sopris may pursue, in its sole discretion, all of its legal remedies, including but not limited to termination of your registration and your ability to access this Site. Voyager Sopris may also in its sole discretion and at any time discontinue providing this Site, or any part thereof, with or without notice. You agree that any termination of your access to this Site may be effected without prior notice, and you acknowledge and agree that Voyager Sopris may immediately deactivate or delete your account and all related information and material in your account and/or bar any further access to such information or to this Site. Further, you agree that Voyager Sopris is not liable to you or any third-party for any termination of your access to this Site.

8. Links. Voyager Sopris may provide, or third parties may provide, links to other World Wide Web sites or resources that are beyond the control of Voyager Sopris. 10. Choice of Law; Arbitration. This Agreement is governed by and will be construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflict of laws. You agree that any action at law or in equity arising out of or relating to this Agreement or arising out of your use of this Site shall be resolved through binding arbitration using the then current rules of the American Arbitration Association, in Dallas, Texas, and the resulting decisions may be entered in any court with proper jurisdiction. 13. Indemnity. You agree to indemnify, defend and hold Voyager Sopris and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "Voyager Sopris Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by you in connection with: (a) any use or alleged use of the Site or the Materials under your password by any person, whether or not authorized by you; (b) your violation of this Agreement; or (c) your violation of the rights of any other person or entity. Voyager Sopris reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with the Voyager Sopris defense of such claim.

14. Notice and Procedure for Making Claims of Copyright Infringement. If you have a claim of copyright infringement, you must send proper written notification to the following Designated Agent:

15. General. This Agreement constitutes the entire agreement, and supersedes the provisions of any other agreements or understandings (oral or written), between the parties with respect to your use of this Site. You shall comply with all laws and regulations applicable to your access and use of the Site. The failure of Voyager Sopris to act in a particular circumstance does not waive the ability to act with respect to that circumstance or similar circumstances. Voyager Sopris shall be excused for any failure to perform to the extent that its performance is prevented by any reason outside of its control. Voyager Sopris may change, remove, or require registration or payment to continue use of any aspect of the Site at any time without further notice to you.

Terms of Sale

Voyager Sopris endeavors to provide the highest level of customer service to the many school districts who are our customers. Voyager Sopris' payment terms are net 30 days, and our shipping terms are FOB Origin. Voyager Sopris acts as the agent for our customers in arranging insurance to protect them from loss while their program materials are in transit. Returns must be accompanied by a properly issued return materials authorization (RMA) within 90 days of receipt of program materials. Restocking fees may apply.

All of our books are stored in the Cloud, so you don't have to download them to read. To launch a book, make sure you are logged into your account. From your bookshelf, find the book you would like to read. Then move your mouse over the cover thumbnail and click Read Online.

You can read your book offline, without an Internet connection, by downloading it to your desktop or laptop computer as long as it has access to either the Chrome or Safari browser. For instructions on how to download your book on your mobile device, please go to the Mobile Support Section. To download your book(s) onto your desktop/laptop, you will need to use either the Chrome or Safari browser. If you would like to download the most recent version of either of these browsers, you can follow the links below:

Your offline bookshelf can be accessed via a desktop shortcut or the browser bookmark you created when you downloaded the bookshelf for the first time. You can always access your Offline Bookshelf from the Downloads drop down menu in your online Bookshelf. You must be in the same browser the original download occurred in.

Google Chrome: your offline Bookshelf is always available in Google Chrome Apps tab

Safari: your offline Bookshelf is available in your browser's bookmarks if you have bookmarked it.

How do I search?

Can i narrow down my search further, how do i add a note, can i export my notes, how do i highlight text, how do i copy text.

Your book features a sophisticated search feature allowing you to search across all the book's text, illustrations, additional resources, and even your own notes, highlights, and bookmarks. You can start a search in two ways:

  • Click within the Search textfield in you book's toolbar.
  • Begin typing the search term.
  • Press Enter on your keyboard to start searching.
  • The system will return a list of results (if any) for the search text.
  • From inside your book, click on the text anywhere on the page.
  • Click on the Search button in the Action Menu pop-up.
  • The system will return a list of results (if any) for the searched text.

You can filter the search results by Your Book or by Your Notes - you will see how many results are in each category. You can even filter further by table of contents, type of content, or type/color of the note. When you click on the Go to Page link or on a search result, you'll be taken to the book page containing that result, with search text highlighted.

You can filter the search results by table of contents, type of content, or type/color of the note. The system will display a filter trail - you can remove any number of filters to adjust your search settings.

To create a note, click on the text to make the Action Menu appear, and click on Add Note.

  • When the Add Note pop-up appears, click inside the text field and begin typing the text of your note.
  • Choose a color to associate with your note.
  • Click on Save to save your note.

Notes that are added will be displayed in the margin of the page by a yellow note icon. The number displayed within the icon indicates the total number of notes added to that paragraph.

Note: You can view all your notes in the Notes Manager accessed from the toolbar.

You can export notes into either Word/RTF or PDF format:

  • Open Notes by clicking on the Notes button in your book's toolbar.
  • You will see Export button in the Notes pop-up window.
  • Click on it, then select the notes you would like to export.
  • Choose the export format.
  • Click Export to complete the exporting process.

To create a highlight, select the text you want to highlight. The Action Menu will appear, and you can click on Highlight. You can edit an existing highlight by clicking on Change Color and then selecting the radio button of the desired color to change color (Color) or to delete (Delete). To save changes, click Save. Note: you can view all your highlights in the Notes Manager accessed from the toolbar.

To copy text, select the text you want to copy. The Action Menu will appear, and you can click on Copy. A pop-up will appear indicating how much more text you are allowed to copy according to the books' permissions set by the publisher. Note: You can view your copy percentage and other related DRM information at any time by clicking the Settings icon in the toolbar and then selecting Book information from the drop down menu.

Where can I download the app?

What can i do in the mobile bookshelf, how do i download books in my mobile app, how do i check in a download on my ipad app, how can i show or hide books on my bookshelf, what is the offline bookshelf, what can i do in my mobile book, which devices are supported.

If you are using an iPhone/iPad device, you can download the MBS Direct Digital app from the Apple App Store. Simply sear for "MBS Direct Digital" and you will find it in your list of results. If you are using an Android device you can dowload the Android MBS Direct Digital app from the Google Play Store. Simply search for "MBS Direct Digital" and you will find it in your list of results.

Upon login, you'll be taken to your Bookshelf. By default, the Online bookshelf is selected, displaying all of your purchased books. From there, you can:

  • Open your books
  • Download books
  • Show or hide books
  • Switch between Online or Offline bookshelves to read books with or without an Internet connection

You can only download on Tablet devices in the mobile app; this means that download is not available for the iPhone/iPod and Android smartphones. To download a book:

  • Switch the view on your tablet device to "List" view
  • Locate the book you would like to download
  • Select the download button
  • When the download is complete you will be prompted to visit your Offline Bookshelf
  • Clicking on the Offline Bookshelf will direct you to your download titles.

Please note that books can only be downloaded to one device at a time. For information on checking in your book so you can download it to a different device, see. For assistance please call Customer Support at: 1.800.547.6747

In order to read a book you have downloaded on a different device, you must first CheckIn the book from the Original Downloaded Location. To do so, follow these steps:

  • Go to your online bookshelf
  • Locate the book you would like to check in
  • Select the Check In button
  • You will receive a Check In Complete message
  • Your book has been checked in and you now can download it on another device

Note: Check in is only available on the iPad at this time. Support for Android check in will be coming soon.

You can hide books that you no longer want to see on your shelf. First tap on the Edit button, then tap the Hide icon next to the book you want to hide. If you want to show that book again, simply go back to Edit and tap on the Show button.

The Offline Bookshelf shows the list of books that you have downloaded to read offline (without an Internet connection). Once you have downloaded a book, you can go to the Offline Bookshelf to read the book without needing the Internet.

Reading on your device, you can use all the same features found in your Browser reader. Each time you open a book on your device, the system will sync the book between your Mobile app and the online browser version. THis includes your last location, notes, highlights, and bookmarks. Each time you create a note, highlight, or bookmark using your mobile device, the application will sync the book copy so that you always have most up-to-date book and notes on the go.

To access your eBooks, you will need to enable cookies for the bookshelf. To do this, follow the steps below. After you compelte this one time, you will be able to view your virtual bookshelf.

  • Click the "Set Up" button which is the gears button on the top right of your browser.
  • Click "Internet Options" from the drop down.
  • Select the privacy tab.
  • Click on "Sites"
  • In the "Address of the website" type Xplana.com
  • Click "Allow"
  • Click OK to close the "Privacy" window and the "Internet Options" window.
  • Log into your virtual bookstore account and access your "Digital Content"
  • Click the "Tools" drop down
  • From the drop down menu select "Internet Options".

Google Chrome: When attempting to access your bookshelf in Chrome you may experience a message that says "Loading Bookshelf" but the bookshelf never loads. Please take the following steps to resolve this problem:

  • Click the Customize icon located at the top right of your chrome browser.
  • From the drop down menu select "Settings"
  • Choose to show Advanced Settings...
  • Under Privacy select "Content Settings..."
  • Choose the "Allow local data to be set" cookies option.
  • Log into your virtual bookstore account and access your "Digital COntent".

Firefox: When attempting to access your bookshelf in Firefox you may experience a message that says "Loading bookshelf" but the bookshelf never loads. Please take the following steps to resolve this problem:

  • Click "Tools"
  • Click "Options" from the "Tools" drop down.
  • Select the "Privacy" tab.
  • Under the "History" section click the "Firefox will:" drop down.
  • Select "Use custom setting for history".
  • Check "Accept third-party cookies".

Safari: When attempting to access your bookshelf in Safari 5/6 you may experience a message that says "Loading Bookshelf" but the bookshelf never loads. Plese take the following steps to resolve this problem.

  • Click the gear at the top right to view settings.
  • Click "Preferences" from the settings drop down.
  • Under the "Block Cookies" section select "Never".
  • Click the "X" to close the privacy overlay.
  • Select "Digital Content".
  • With the bookshelf cookies loaded, now tuen the cookies off again. Click the gear at the top right to view settings.
  • Click "Preferences" from the settings drop down menu.
  • Select the "Privacy" tab
  • Under the "Block Cookies" section select "From third party and advertisers".

About cache, cookies and history

Each time you access a file throught your web browser, the browser caches or stores it. By caching the files, the browser doesn't have to retrieve files, such as images, from the remote web site each time you click Back or FOrward. You should periodically clear the cache to allow your browser to function more efficiently.

A cookie is a file created by a web browser, at the request of a web site, that is stored on a computer. THese files typically store user-specific information such as selections in a form, shopping cart contents, or authentication data. Browsers will normally clear cookies that reach a certain age, but clearing them manually may solve problems with web sites or your browser.

A browser's history is a log of sites that you bisit. When you click a browser's Back button , you are moving back one entry in the history log. Browsers will normally clear history at regular intervals, but you may want to clear it manually for privacy reasons.

Internet Explorer 9 and above:

  • Click "Safety" from the settings drop down.
  • Select "Delete Browsing History..."
  • In the Delete Browsing History... deselect Preserve Favorites website data, and select Temporary Internet files, cookies and History.
  • Click Delete

Firefox for Windows:

  • Click "Tools".
  • Select "Clear Recent History..." from the Tools drop down.
  • From the Time range to clear: drop down menu, slect the desired range; to clear your entire cache select "Everything".
  • Click the down arrow next to "Details" to choose what history elements to clear (e.g., check Cookies to Clear Cookies).
  • Click Clear Now.
  • From the drop down menu select "History".
  • Choose "Clear browsing data".
  • Select the items you want to clear (e.g., Clear browsing history, Clear download history, Empty the cache, delete Cookies and other site and plug-in data). You can choose the period of time for which you want to clear cached information from teh Obliterate the following items from: drop down menu. To clear your entire cache, select the beginning of time.
  • Click "Clear browsing data".
  • Click "Edit".
  • From the drop down select "Reset Safari..."
  • From the menu, select the items you want to reset, and then click Reset. As of Safari 5.1, Remove all website data covers both cookies and cache.

Mobile Safari for iOS (iPhone, iPod tough, iPad):

To clear cach and cookies:

  • From the home screen, tap Settings and then tap Safari.
  • At the bottom of Safari's settings screen, tap the buttons for Clear Cookies and Clear Cache. To confirm, tap Clear Cookies or Clear Cache again.

To clear history:

  • From the home screen, tap Safari.
  • At the bottom of the screen, tap the Bookmarks icon.
  • In the lower left, tap clear.
  • Tap Clear History.

To clear cache, cookies or history:

  • Start your browser.
  • Tap Menu, and then tap "More".
  • Select Settings.
  • Under "Privacy Settings", select Clear Cache, Clear History or CLear all cookie data as appropriate, and then tap OK to accept (or Cancel to cancel) the deletion.

If you experience any issues with printing or exporting notes/highlights then you may need to add an expetion to your browser's Pop-up Blocker. To add an exception, follow the steps below.

  • Select the "Content" tab.
  • Select Exceptions for Block pop-up windows.
  • Add your bookstore URL to the Allowed Sites - Pop-ups.
  • Close all options and reload the page. Pop-ups are now allowed for your school's bookstore.
  • From the drop down menu slect "Settings".

A: There is a known bug for Safari 5.1.4 and up (currently at 5.1.7). It has to do with the way Safari handles cookies. To correct the problem, follow the steps below:

  • In Safari, go to Settings -› Preferences -› Privacy.
  • Temporarily set Block Cookies to "Never", and then close the settings window.
  • Browse the bookstore and launch the Bookshelf, verify that it is working correctly.

This site provides you with access to the Voyager Sopris Data Management System. This system is an integral component of Voyager's curriculum products and provides valuable reporting, instructional recommendations, and other resources used by teachers and other instructional leaders in conjunction with Voyager's curriculum with the goal of improving student performance.

This statement describes the privacy and security practices Voyager Sopris employs for this site. We have adopted these practices to protect you, the students, and the school district, and to enable each of us to comply with applicable legal requirements. Two types of personally identifiable information are used on this site: your personal data and student data .

Your Personal Data Collection : Voyager Sopris collects information from you as you use this site. For example, you must enter certain personally identifiable information, including your name, e-mail address, and phone number. Student Data As you use this site, you will enter student data or interact with student data that has already been entered. Federal law (the Family Educational Rights and Privacy Act, "FERPA") allows a school district to release student records to an organization that is "conducting studies for, or on behalf of, educational agencies or institutions for the purpose of developing, validating, or administering predictive tests... [or] improving instruction."

However, FERPA requires limitations on disclosure of those records and implementation of appropriate security measures to protect those records. To help your school district comply with FERPA, Voyager Sopris has adopted certain practices, and requires that educators using this site fulfill certain responsibilities to safeguard student data. The following statement explains our practices and your responsibilities regarding the student data you enter on this site.

Student Data Security and Confidentiality Statement Purposes of Data Entry : You control what student data is entered on this site. Student data entered on this site should be limited to information that is relevant to the legitimate educational purpose of improving student performance. We will not ask you to enter, and you are instructed not to enter, data about students that is not relevant to this legitimate educational purpose.

Therefore, only a minimum amount of personally identifiable student data required for the setup of the system is requested. We require student first name, student last name, and student identification number. Additional data, not specific to the student, is also required to complete system setup, including the teacher first and last name, class name, grade level, and school name. Student demographic data, for the purposes of optional disaggregated reporting, is requested separately from the initial setup data and is obtained only with written permission from your district.

Use, Disclosure, and Storage: We will use the student data to provide the services to your school district. We will not keep the student data after you or the school district instructs us to delete it. You may not disclose or otherwise use the student data entered on this site for any unauthorized purposes.

We will only disclose student data to authorized employees or representatives of the school district, and will not knowingly disclose the student data to any third person without express written authorization. When, at the request of the district, we acquire assessment or other information, including personally identifiable student data, from a third party source we treat that information with the same confidentiality and security safeguards as though it were provided directly by the district. Additional agreements may be required by the third party to authorize transmission of data to Voyager Sopris.

Your district may from time to time request that Voyager Sopris provide student data to third parties of its choosing. We will do so with written authorization, which acknowledges that Voyager Sopris is providing that data as your district's agent and that once the data is received by the third party, Voyager Sopris no longer has any control over the use or disposition of the data.

We may also use aggregated data in our research, product development, and marketing. That aggregated, non-personally identifiable data (e.g., summary or statistical data) may be shared with third parties. However, we do not use personally identifiable student data to market any products or services directly to students or their parents.

In the event that Voyager Sopris wishes, from time to time, to release aggregated data that identifies your school or school district by name, Voyager Sopris will enter into a separate agreement with you to authorize release and publication.

Data Quality : You are responsible for keeping the student data that you enter accurate, complete and up-to-date. If you recognize that student data is inaccurate, incomplete, or out-of-date, you are responsible for correcting it. Security Safeguards : We are committed to protecting student data against unauthorized access, destruction, use, modification or disclosure. Protecting student data requires efforts from us and from you. We will implement reasonable and appropriate safeguards when collecting student data from you and when storing that student data in our database and you will observe our security safeguards and exercise reasonable caution when using this site.

  • Only Voyager Sopris employees who are authorized to handle student data are able to access the Data Management System.
  • A teacher will only be able to see data for his/her class.
  • A Principal, Coach, or other authorized School User will be able to view all data at a given school.
  • An authorized district-level employee, such as an Instructional Coordinator or Superintendent, will be able to see all data across the district.
  • Each authorized school official is given a Userid and Password valid only for the duration of the academic year, including a summer program if applicable. You must safeguard your Userid and Password, and not permit any unauthorized access to student data entered or kept in the Voyager Sopris system.
  • Upon written request by the district, Voyager Sopris will destroy any student data for districts who no longer participate in a Voyager Sopris reading program. Voyager Sopris will provide written verification that the data has been destroyed as requested.
  • If a district has not used any Voyager Sopris product for a period of ten years, Voyager Sopris will provide written notice that the student data pertaining to their district will be destroyed, unless the district requests the records be kept. Upon destruction, Voyager Sopris will provide written verification that the data has been destroyed.
  • Voyager Sopris uses industry standard server and network hardware and software to ensure that data is protected from unauthorized access or disclosure.

4. Email Communications. You hereby authorize Voyager Sopris to send electronic mail to you for the purpose of advising you of changes or additions to this Service, or about any of Voyager Sopris' products or services. You agree that it is your sole responsibility to scan any documents attached to our electronic mail for computer viruses, and to hold Voyager Sopris harmless for any computer viruses you may receive from electronic mail sent from Voyager Sopris.

5. Passwords and Registration. The following part of this Service is protected by a user account including a username and password. You agree not to disclose or share your account information with any third party or use your account for any unauthorized purpose. You are responsible for maintaining the confidentiality of your information, user name and password. You shall be responsible for all uses of your user account, whether or not authorized by you. You agree to immediately notify Voyager Sopris of any unauthorized use of your user name or password.

6. Termination. This Agreement commences upon your acceptance (as described above) and will end when terminated. Voyager Sopris or you may terminate this Agreement at any time without notice. This Agreement, and therefore your right to use the Service, will automatically terminate if you fail to comply with any provision of this Agreement. If this Agreement is terminated, you must (a) cease all use of the Service, and (b) delete all copies of the content from the Service from the hardware on which it has been installed.

7. Territory. Unless otherwise specified, the Materials in this Service are presented solely for the purposes of education, entertainment, personal enrichment and the promotion of products and services available in the United States. We control and operate this Service from our offices in Dallas, Texas, U.S.A. We make no claims that the Materials are appropriate for use outside of the United States. If you choose to use this Service from outside of the United States, you are solely responsible for compliance with your local laws.

8. Choice of Law; Arbitration. This Agreement is governed by and will be construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflict of laws. You agree that any action at law or in equity arising out of or relating to this Agreement or arising out of your use of this Service shall be resolved through binding arbitration using the then current rules of the American Arbitration Association, in Dallas, Texas, and the resulting decisions may be entered in any court with proper jurisdiction. This means that if you have a grievance with us, you cannot take us to court. You can address such grievances through arbitration only and you are hereby consenting to do it in Dallas, Texas, using Texas' laws (without regard to Texas' rules on conflict of laws). Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Notwithstanding the foregoing, either party may seek any interim or preliminary relief from a court of competent jurisdiction in Dallas County, Texas as necessary to protect the party's rights or property pending the completion of arbitration. 9. Disclaimer of Warranty. THIS SERVICE AND THE MATERIALS ON THIS SERVICE ARE PROVIDED "AS IS" AND, TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, VOYAGER SOPRIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. VOYAGER SOPRIS DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MATERIALS WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 11. Indemnity. You agree to indemnify, defend and hold Voyager Sopris and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by you in connection with: (a) any use or alleged use of the Service or the Materials under your password by any person, whether or not authorized by you; (b) your violation of this Agreement; or (c) your violation of the rights of any other person or entity. Voyager Sopris reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Voyager Sopris' defense of such claim.

12. Notice and Procedure for Making Claims of Copyright Infringement. If you have a claim of copyright infringement, you must send proper written notification to the following Designated Agent:

13. General. This Agreement constitutes the entire agreement, and supersedes the provisions of any other agreements or understandings (oral or written) between the parties with respect to your use of this Service. Voyager Sopris' failure to act in a particular circumstance does not waive the ability to act with respect to that circumstance or similar circumstances. Voyager Sopris shall be excused for any failure to perform to the extent that its performance is prevented by any reason outside of its control. Voyager Sopris may change, remove, or require registration or payment to continue use of any aspect of the Service at any time without further notice to you.

Voyager Sopris endeavors to provide the highest level of customer service to the many school districts who are our customers. Voyager Sopris' payment terms are net 30 days, and our shipping terms are FOB Origin. Voyager Sopris acts as the agent for our customers in arranging insurance to protect them from loss while their program materials are in transit. Returns must be accompanied by a properly issued return materials authorization (RMA) within 90 days of receipt of program materials. Restocking fees may apply.
